Rustic Pathways Brand Ambassador Program Terms

The following terms and conditions of participation (“Terms of Participation”) apply to the Rustic Pathways Brand Ambassador Program (“Program”).

1. As a participant in the Program, I acknowledge that I am required to comply with all of these Terms of Participation.  
2. Participation in the Program is open to individuals who are legal residents of the United States and at least 18 years old.
3. If I am under the age of 18, I understand and agree that I am required to obtain the consent of my parent/guardian (“Parent”) and they must review and agree to these Terms of Participation on my behalf before I can participate in the Program. If I have not obtained my Parent’s consent, I understand and agree that I am not allowed to participate and will not do so.  
4. I (and my Parent) understand that by agreeing to these Terms of Participation, I (and they) take full responsibility for my activity under the Program. I (and my Parent) agree that Rustic Pathways is not liable under any circumstances for my activities under the Program, and agree to indemnify and hold Rustic Pathways harmless from any losses, damages, claims and liability arising from my participation in the Program.
5. If you are the Parent of a participant, you acknowledge and agree that it is your responsibility to be actively involved in your child’s participation in the Program, including checking that any content they post or submit is appropriate, generally overseeing their activities online, and discussing with them the risks of participating in online and other social media activities. 
6. I understand I am required to set up a unique user account and that I am not allowed to share my account or log in information with anyone other than my Parent. I agree that any information I provide to Rustic Pathways will be true and complete. If I have reason to think that anyone else is accessing my account, I will inform Rustic Pathways immediately and reasonably cooperate to resolve any concerns. 

Responsibilities of the Ambassador. I understand and agree:

1. I will promote Rustic Pathways and its products and services on social media platforms, blogs, websites and other media outlets, in a legal and professional manner, using brand-appropriate content.  
2. I will use brand appropriate Rustic Pathways’ hashtags.
3. Any content I create or post will be genuine, authentic and high quality. It will accurately reflect Rustic Pathways and its products and services. It will be positive, respectful and aligned with Rustic Pathways’ stated values.
4. I will not post or share any content that is offensive, bullying, discriminatory, illegal or otherwise offensive or inappropriate.  
5. Content that I share or post will be publicly available to a large community of users and there is no expectation of privacy or that the content will be protected from public view.  
6. I will not post or share ANY content that reveals specific details or sensitive personal information about me or any other person, including information that could be harmful to me or them in any way.
7. I must comply with the applicable terms of any social media platform (e.g., Instagram or TikTok) where I post or share content.  

Compensation: I understand and agree:

1. I am only entitled to receive compensation (e.g., travel credits, money or products) as identified by Rustic Pathways under the then-current Program benefits as stated on their website, which may be updated by Rustic Pathways in its sole discretion from time to time. If I have questions about what the Program benefits are or how they are earned or paid out, I agree to reach out to Rustic Pathways with questions via email at janette@rusticpathways.com.
2. Rustic Pathways is not responsible for any costs or expenses I (or anyone else) may incur in connection with my participation in the Program.
3. Rustic Pathways will pay out fully earned Program benefits on a reasonable periodic basis (e.g., monthly or quarterly). I have no right to receive benefits that are not yet fully earned and am not entitled to any partial compensation for partially earned benefits. 
4. I understand that it is my sole responsibility to comply with any and all applicable tax and other laws applicable to my receipt of Program benefits and that Rustic Pathways has no responsibility to report or otherwise comply with any tax or other laws on my behalf.

Content Ownership and Use: I understand and agree:

1. I understand that by sharing or posting any content under the Program, I am granting Rustic Pathways a non-exclusive and perpetual right to use that content for any lawful purpose, including without limitation, to promote and market its business, products and services. That right to use will continue even after I have stopped participating in, or after termination of, the Program.
2. I will not post or share content that I don’t have the right to use or that is confidential or belongs to someone else.  
3. When I share or post any content, I agree I have all necessary rights to allow Rustic Pathways to use it for the purposes stated above. I understand that if I don’t have those rights, I cannot post or share the content.  
4.  I understand that I will be responsible for protecting Rustic Pathways against all damages, losses, claims and liability arising out of my sharing and posting any content.  
5. I will not use any Rustic Pathways’ trademarks without their permission. If I do have permission to use them, I will comply with all applicable laws in connection with my use.

Other Ambassador Commitments: I understand and agree:

1. I have no obligation to participate in the Program. I can terminate my participation at any time. To close my account, I agree to email Rustic Pathways at janette@rusticpathways.com. Even if I terminate my participation, Rustic Pathways may choose to continue to use any content I previously provided, shared or posted, but has no obligation to do so.
2. Rustic Pathways can terminate my participation in the Program at any time, including if I fail to comply with any of these Terms of Participation or if I don’t remain reasonably active in the Program. If my participation is terminated for failure to comply with these Terms of Participation, I understand I will not be entitled to any compensation or Program benefits, whether fully earned or otherwise.
3. Rustic Pathways can terminate the Program (including my participation in the Program) at any time for any reason or no reason, without liability and without any further obligation to me, by providing notice on its website or through my Program account. Following termination of the Program, Rustic Pathways will use commercially reasonable efforts to promptly pay out fully earned and unpaid Program benefits to then-current active participants.  
4. Rustic Pathways has the right in its sole discretion to change these Terms of Participation, the Program (and/or Program benefits), and/or discontinue the Program at any time. Notification of changes can be made in any reasonable manner, including by posting to Rustic Pathways’ website.  
5. It is my obligation to periodically check for updates to these Terms of Participation and the Program. 
6. Any changes or updates will apply as of the date of posting or notice and my continued participation in the Program after any update or change means I accept the updated terms. 
7. As a participant in the Program, I understand that does not make me an employee, representative, or agent of Rustic Pathways. I do not have the right to and will not speak on behalf of or make any representations about Rustic Pathways or its business, products or services. 
8. Rustic Pathways’ Privacy Policy and website Terms of Service also apply when I participate in the Program (including when I set up a user account) and I acknowledge I have read and agree to those policies and terms, including as they may be modified from time to time.

Questions, Interpretation, Limitation of Our Liability and Disputes: 

1. Any questions or issues arising under or related to these Terms of Participation, including any disputes or claims, will be governed by and determined in accordance with the laws of the State of Ohio, USA, excluding its conflicts of laws rules.  
2. I agree that if I have any questions or concerns about these Terms of Participation, I will work in good faith with Rustic Pathways to resolve the issue by mutual agreement. I agree to contact Rustic Pathways at janette@rusticpathways.com. If we are unable to resolve the issue by mutual agreement, I agree to mediate the dispute with a mutually agreed mediator located in Lake County, Ohio. I agree to share the costs of any mediation equally with Rustic Pathways.  
3. I UNDERSTAND THAT RUSTIC PATHWAYS IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR ANY LOSS OF REVENUE, PROFITS, GOODWILL, USE, OR DATA ARISING IN CONNECTION WITH THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. FURTHER, RUSTIC PATHWAYS’ TOTAL LIABILITY ARISING IN CONNECTION WITH THE PROGRAM AND THESE TERMS OF PARTICIPATION WILL NOT EXCEED THE TOTAL PROVEN VALUE OF ANY BENEFITS PAID OR PAYABLE TO ME UNDER THE PROGRAM IN THE 12 MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM FIRST AROSE. I HEREBY WAIVE ANY RIGHT OR REMEDY IN EQUITY, INCLUDING THE RIGHT TO SEEK SPECIFIC PERFORMANCE, INJUNCTIVE OR OTHER EQUITABLE RELIEF IN CONNECTION WITH THE PROGRAM AND THESE TERMS OF PARTICIPATION. NOTHING IN THIS PARAGRAPH IS INTENDED TO LIMIT LIABILITIES THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
4. I understand that my participation in the Program and these Terms of Participation are personal to me as an individual and I do not have any right to transfer or assign any of my rights, duties or benefits to anyone else. Rustic Pathways may assign or otherwise transfer any of its rights, duties and benefits under the Program and/or these Terms of Participation at any time without my consent.  
5. These Terms of Participation are the entire agreement between me and Rustic Pathways regarding the Program, and supersedes and replaces any and all previous and other agreements between the parties related to the Program. Other than as expressly set forth herein, no other statement of any kind, whether in writing, oral or otherwise, will form a part of these Terms of Participation.  
6. These Terms of Participation are intended to be interpreted in a way which makes them valid, legal, and enforceable. If any portion of these Terms of Participation are determined to be invalid or unenforceable, I agree that the remaining provisions will remain in effect and be fully enforceable.
